Terms of Service

1. Introduction

These Terms of Service ("Terms") constitute a legally binding agreement between you and PT. Rafiq Space Intelligence ("Company," "we," "us," or "our") governing your access to and use of the Meetpal platform, including all associated services, features, and applications (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms in accordance with the laws of the Republic of Indonesia. If you do not agree to these Terms, you must not access or use the Service.

2. Definitions

In these Terms, the following definitions apply:

"Account" means your registered user account on the Platform, created through the authentication process.
"AI Output" means any content generated by the Platform's artificial intelligence features, including but not limited to meeting summaries, recommendations, transcriptions, speaker identifications, and analytical insights.
"Content" means any data, text, audio, video, recordings, transcripts, or other materials uploaded to, created on, or generated through the Service.
"Organization" means the entity, company, team, or workspace under which your Account is registered and managed.
"Platform" means the Meetpal web application, including its APIs, integrations, meeting bot services, and all related tools.
"Recording" means any audio or video capture of meetings made through the Service, whether recorded directly via the browser or through the meeting bot.
"User" or "you" means any individual who accesses or uses the Service, whether as an account holder, Organization member, or authorized guest.

3. Service Description

Meetpal is an AI-powered meeting intelligence platform that provides the following capabilities:

Meeting recording through in-browser audio capture or automated meeting bots (Zoom, Google Meet, Microsoft Teams)
Real-time and offline speech-to-text transcription with Indonesian language support
Speaker identification and diarization using voice enrollment
AI-generated meeting summaries, previews, and actionable recommendations
Contextual analysis powered by configurable knowledge bases (RAG)
Calendar integration for scheduling and meeting management
Analytics dashboard for meeting insights and organizational metrics

We reserve the right to modify, update, or discontinue any feature of the Service at any time with reasonable notice to affected Users.

4. Account Registration & Eligibility

To use the Service, you must be at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an Organization, you represent that you have the authority to bind that Organization to these Terms.

You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You must immediately notify us of any unauthorized use of your Account.

Each Account must be associated with a valid Organization. You may create new Organizations or accept invitations to join existing ones. Organization administrators are responsible for managing member access and permissions.

5. User Obligations

When using the Service, you agree to:

Comply with all applicable laws and regulations of the Republic of Indonesia, including but not limited to Law No. 27 of 2022 on Personal Data Protection (UU PDP) and Law No. 11 of 2008 as amended by Law No. 19 of 2016 on Electronic Information and Transactions (UU ITE)
Obtain all necessary consents from meeting participants before initiating any recording or transcription
Not use the Service for any unlawful, fraudulent, or harmful purpose
Not attempt to reverse engineer, decompile, or disassemble any part of the Platform
Not share your Account credentials with any third party or allow unauthorized access to your Account
Not upload or transmit any content that is defamatory, obscene, or infringes on the intellectual property rights of others

7. AI-Generated Content

The Service utilizes artificial intelligence to generate meeting summaries, transcriptions, recommendations, and analytical insights. AI Outputs are provided for informational purposes only and should not be relied upon as legal, financial, medical, or other professional advice.

While we strive for accuracy, AI Outputs may contain errors, omissions, or inaccuracies. The Company makes no representations or warranties regarding the completeness, reliability, or accuracy of any AI Output. You are solely responsible for verifying AI Outputs before relying on them for any decision-making.

AI Outputs do not constitute a substitute for professional judgment, and the Company shall not be held liable for any actions taken or decisions made based on AI-generated content.

8. Intellectual Property

The Platform, including its software, design, trademarks, and all related intellectual property, is and remains the exclusive property of the Company. Nothing in these Terms grants you any right, title, or interest in the Platform beyond the limited right to use the Service in accordance with these Terms.

You retain ownership of all Content that you upload to or create through the Service, including your meeting recordings and transcripts. By using the Service, you grant the Company a limited, non-exclusive, worldwide license to process, store, and analyze your Content solely for the purpose of providing and improving the Service.

AI Outputs generated from your Content are owned by your Organization, subject to the limitations described in Section 7. The Company retains the right to use anonymized, aggregated data derived from Service usage for the purpose of improving the Platform.

9. Data Processing

Your use of the Service involves the processing of personal data, which is governed by our Privacy Policy. By using the Service, you acknowledge and agree to the collection, processing, and storage of data as described in the Privacy Policy, in compliance with UU PDP and applicable data protection regulations.

Meeting recordings and transcripts are processed using our speech-to-text and AI analysis services. Voice data used for speaker identification is classified as specific personal data (data pribadi spesifik) under UU PDP and is processed with appropriate safeguards as detailed in our Privacy Policy.

10. Fees & Payment

Access to the Service is provided on a subscription basis with usage quotas allocated to each Organization. Subscription plans, pricing, and quota allocations are published on our website and may be updated from time to time.

All fees are quoted and payable in Indonesian Rupiah (IDR) unless otherwise specified. Payment terms, billing cycles, and accepted payment methods are set forth in your subscription agreement.

Unused quotas do not carry over between billing periods unless otherwise specified in your subscription plan. Refunds for partial use within a billing period are not available unless required by applicable Indonesian consumer protection laws.

11. Service Availability

We strive to maintain the Service's availability on a continuous basis. However, the Service is provided on an "as-is" and "as-available" basis. We do not guarantee uninterrupted, timely, secure, or error-free operation of the Service.

We may temporarily suspend the Service for scheduled maintenance, security updates, or emergency repairs. Where reasonably possible, we will provide advance notice of planned downtime through the Platform or via email.

12. Limitation of Liability

To the maximum extent permitted by applicable Indonesian law, the Company's total aggregate liability arising from or related to these Terms or the Service shall not exceed the total fees paid by your Organization in the twelve (12) months immediately preceding the event giving rise to the claim.

In no event shall the Company be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, business interruption, or loss of goodwill, even if the Company has been advised of the possibility of such damages.

The limitations set forth in this section shall not apply to liability arising from willful misconduct (kesengajaan) or gross negligence (kelalaian berat) by the Company, or to any liability that cannot be limited under mandatory provisions of Indonesian law.

13. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its directors, officers, employees, and agents from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your failure to obtain proper recording consent; or (e) any Content you upload or generate through the Service.

14. Termination

Either party may terminate these Terms at any time by providing written notice to the other party. You may terminate your Account by contacting our support team or through the Account settings. The Company may terminate or suspend your Account immediately if you breach any provision of these Terms.

Upon termination, your right to access the Service will cease immediately. You may contact us to request an export of your data within a reasonable period after termination. After such period, we may permanently delete your Content in accordance with applicable law.

Sections that by their nature should survive termination shall continue in full force and effect, including but not limited to Intellectual Property, Limitation of Liability, Indemnification, and Governing Law.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Indonesia, including but not limited to Law No. 27 of 2022 on Personal Data Protection (UU PDP), Law No. 11 of 2008 as amended by Law No. 19 of 2016 on Electronic Information and Transactions (UU ITE), and Government Regulation No. 71 of 2019 on the Implementation of Electronic Systems and Transactions (PP PSTE).

16. Dispute Resolution

Any dispute arising out of or in connection with these Terms shall first be resolved through good-faith negotiation between the parties for a period of thirty (30) days from the date one party notifies the other of the dispute in writing.

If the dispute cannot be resolved through negotiation, it shall be referred to and finally resolved by arbitration administered by the Indonesian National Board of Arbitration (Badan Arbitrase Nasional Indonesia / BANI) in Jakarta, in accordance with the BANI Rules then in effect. The arbitration shall be conducted in the Indonesian language. The arbitral award shall be final and binding upon both parties.

17. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to you at least thirty (30) days before they take effect, via email notification or through a prominent notice on the Platform. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service.
